STANDARD TERMS AND CONDITIONS FOR MAINTENANCE AND SUPPORT OF OPEN SOURCE SOFTWARE Version 1.0 All Software Maintenance and Support is provided subject to the following Standard Terms and Conditions. These provisions set forth are only obligations of the Maintainer regarding Maintenance and Support of Open Source Software licensed to You under a License. I. DEFINITIONS 1. "You" or "Your" shall refer to the entity entitled to receive Maintenance and Support hereunder. 2. "Maintainer" shall refer to the entity issuing this Agreement. 3. "License" shall refer to the Software License under which this Open Source Software has been licensed to You in first place. 4. "Open Source Software" and "Licensed Software" shall refer to the Work or Derivate Work as defined in the License. II. MANTAINER SOFTWARE SERVICES 1. Unlimited use of Maintainer's email and telephone support to receive technical assistance and/or general consultation with regard to software You have licensed from the Maintainer and for which You have elected to receive Maintenance and Support (the "Licensed Software"). 2. The Maintainer will arrange prompt release of new source and binary versions (optionally), updates and/or enhancements to current versions of the Licensed Software upon request from You. Some new versions, updates and/or enhancements may require more advanced or larger capacity equipment and/or third party software. Equipment and software compatibility shall be Your sole responsibility. 3. As they become available, The Maintainer will provide updates and enhancements to existing documentation. 4. The Maintainer will take all reasonable steps to correct defects in the Licensed Software that are directly attributable to programming if the Maintainer, in its sole discretion, recognizes them as having a materially detrimental effect on the performance of the Licensed Software. III. CHARGES 1. The Annual Maintenance period begins immediately after this agreement is issued. The Annual Maintenance fee is defined by the Maintainer. The fee is valid for 1-year period starting from the date of the payment. 2. All charges for Software Maintenance are payable in advance. There is no automatic renewal of this agreement, You have to apply for new agreement when Annual Maintenance period is over. 3. Charges do not include charges related to third party software programs, which may be required to run the Licensed Software. You may be required to pay separately for any upgrades in such third party programs. 4. All charges are irreversible even in case of when You terminate this agreement before the Annual Maintenance period over. IV. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY 1. All warranties and liabilities are governed by the License. V. GENERAL 1. All provisions of this agreement shall be governed by the terms of the License. 2. You may not sub-license, sell, rent, lend or lease the services provided by the Maintainer defined under this agreement. 3. You may cancel maintenance without notice at any point of time.
